1. Scope & Definitions
These Terms and Conditions ("Terms") apply to your use of www.xproduct.co.uk (the "Site") and the xProduct platform operated by Kuzi Design Ltd. The platform enables the creation, management and publication of product information pages, including Digital Product Passports and sustainability-related visuals (collectively, "Public Pages").
B2B vs Consumer. Accounts are primarily provided to business customers ("Customers") and their authorised users. Consumers may view Public Pages and use the cancellation form where applicable. Where you purchase goods or services from a Customer, that Customer's own terms will apply in addition to these Terms.
Key Definitions: "Templates" are the visual/editor components used to create content; "Default/Admin Templates" are example or pre-configured templates provided by us; "Customer Content" is any data, content or information uploaded, edited or published by you; "AI Features" means any artificial intelligence or machine-learning functionality made available through the platform, including AI content generation and AI credit top-ups.
2. Description of Services
xProduct provides a cloud-based platform for managing product data, compliance-related information, and Digital Product Passports. This includes:
- Template editors and data storage
- Public rendering of product information via QR code and public API
- AI-assisted content features (where purchased)
- Compliance audit and reporting tools
- DPP archive export — a full machine-readable ZIP download of all your DPP data (products, certifications, lifecycle events, packaging) available at any time from your account
Public Pages may be accessed by anyone with a direct link or QR code. We may update, modify, or discontinue features, templates or functionality at any time to improve performance, security or usability.
3. Accounts
You are responsible for:
- Maintaining the confidentiality of your login credentials
- Managing authorised users and their role-based access
- All activity carried out under your account
We reserve the right to suspend or terminate accounts that breach these Terms. Where multi-factor authentication (MFA) is available on the platform, we strongly recommend enabling it to protect your account.
4. Subscription Plans, Billing & Payments
4.1 Pricing
xProduct offers a range of subscription tiers. All prices are in GBP and may be updated from time to time with reasonable notice. Full plan details, current pricing and feature comparisons are available at xproduct.co.uk/product-pricing. Plans vary in the number of products, features and user seats available. AI credits are available as optional top-up purchases (see §8).
4.2 Payments
Payments are processed securely via Stripe. We do not store payment card details. By subscribing, you authorise us to charge recurring subscription fees and any applicable charges under your selected plan.
4.3 Free Trial
Certain plans (including the Manufacturer plan) may include a free trial period. If not cancelled before the trial ends, the subscription will automatically convert to a paid plan at the then-current rate. A valid payment method is required to start a trial.
4.4 Renewal
Subscriptions automatically renew unless cancelled before the end of the current billing period.
4.5 Cancellation
You may cancel your subscription at any time via the billing portal or by contacting us. Cancellation takes effect at the end of the current billing cycle. Access continues until that date.
4.6 Refunds
No refunds are provided for partial billing periods, except where required by law (see §17 for consumer cooling-off rights). AI credit top-up purchases are non-refundable once purchased, except where required by applicable law.
4.7 Non-Payment
We reserve the right to suspend or terminate access where payment is not received.
4.8 Plan Limits & Fair Use
Plans may include usage limits (e.g., number of products or templates). We may restrict or throttle usage to ensure fair use and platform stability. Free accounts may be removed after prolonged inactivity.
5. Customer Content, Data & Ownership
5.1 Ownership
Customers retain ownership of all Customer Content uploaded to the platform.
5.2 Licence to Host
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process and display Customer Content solely for the purpose of operating the service.
5.3 Responsibility for Data
You are solely responsible for:
- The accuracy of all data submitted
- Ensuring content complies with applicable laws
- Any outcomes resulting from use of that data
We do not verify, audit, or validate Customer Content.
6. Templates, Defaults & Data Disclaimer
Default/admin templates and example values are provided for guidance and demonstration purposes only. They are supplied "as is" and must not be relied upon without independent verification. You are responsible for ensuring all published information is accurate and legally compliant.
7. Blockchain Verification Disclaimer
Where blockchain technology is used, it serves to record and secure submitted data. However:
- Blockchain does not verify the accuracy or legality of data
- It only confirms that data has not been altered after submission
- Responsibility for all data remains entirely with the Customer
8. Artificial Intelligence Features
8.1 AI-Assisted Content
Certain plans include access to AI-assisted content generation features. These features use third-party AI models to generate text, suggestions and data summaries based on your inputs.
8.2 AI Credits
AI features are governed by a credit system. Credits are included in certain plans or available as one-off top-up purchases. Purchased credits are non-refundable and have no monetary value. Unused credits do not roll over beyond any stated expiry period.
8.3 Accuracy Disclaimer
AI-generated content may be inaccurate, incomplete or misleading. You are solely responsible for reviewing, editing and verifying any AI-generated content before publication. We make no warranty as to the accuracy, fitness for purpose or legal compliance of AI outputs.
8.4 Responsibility
You must not use AI features to generate unlawful, defamatory, harmful or misleading content. You remain fully responsible for all content published via the platform, whether AI-generated or otherwise.
8.5 Third-Party AI Providers
AI features are powered by third-party providers (currently Anthropic). Your inputs may be processed by those providers in accordance with their own terms and privacy policies. We do not retain AI prompts or outputs longer than necessary to deliver the feature.
9. Compliance & Regulatory Disclaimer
xProduct provides tools to assist with product data and compliance management. We do not guarantee:
- Legal or regulatory compliance
- Accuracy of Customer Content
- Acceptance by regulators or third parties
You remain fully responsible for ensuring compliance with all applicable laws and regulations, including those relating to Digital Product Passports and supply chain transparency.
10. Environmental & Performance Claims
Where Public Pages include environmental, lifecycle or performance claims, Customers must ensure:
- Claims are accurate, substantiated and not misleading
- Appropriate methodologies and boundaries are used (e.g. "cradle-to-gate")
- Compliance with applicable guidance (e.g. UK CMA Green Claims Code)
Warranty & Indemnity. You warrant that such claims are lawful and supported by evidence, and agree to indemnify us against any claims arising from them.
11. Acceptable Use
You agree not to:
- Upload false, misleading or unlawful content
- Infringe intellectual property or other rights
- Upload malware or attempt unauthorised access
- Scrape or bulk-download content without permission
- Bypass plan limits or system restrictions
- Reverse engineer or exploit the platform
- Use AI features to generate unlawful, harmful or deceptive content
We may suspend accounts that breach this section.
12. Intellectual Property
All rights in the platform, including software, templates, design and branding, belong to Kuzi Design Ltd. You may not:
- Copy, reproduce or redistribute the platform
- Reverse engineer or decompile any part
- Use our branding without permission
13. Service Availability & Changes
We aim to provide reliable access but do not guarantee uninterrupted service. We are not liable for:
- Downtime or outages
- Maintenance interruptions
- Loss of data due to technical issues
We may introduce, modify or remove features at any time. New or experimental ("Beta") features are provided "as is" and may change or be withdrawn.
Business continuity. To protect your access to DPP data independently of platform availability, we strongly recommend scheduling regular use of the archive export (ZIP download) described in §14.
14. DPP Data Archival, Retention & Portability
In accordance with EN 18221 (Digital Product Passport — Data lifecycle and archival)
14.1 Retention During Active Subscription
While your subscription is active, all DPP data (product records, certifications, lifecycle events, template data and packaging data) is stored on secure Microsoft Azure infrastructure and remains accessible via QR code, public API and your account dashboard. We do not impose a maximum retention limit during an active subscription.
14.2 Archive Export (ZIP Download)
At any time, subscribers may download a complete machine-readable archive of their DPP data in ZIP format from the Products page. The archive includes:
- products.json — full product records in EN 18218-compliant format, including ECLASS identifiers, GS1 data and ESPR compliance fields
- certifications.json — certification records and blockchain anchors
- template_data.json — all DPP template section data
- ledger_events.json — complete lifecycle event trail
- packaging.json — PPWR packaging data (EU 2025/40)
We recommend scheduling regular exports as part of your own long-term archival practice. The archive format is open JSON and is not proprietary to xProduct.
14.3 Persistent DPP Identifiers
In accordance with EN 18219, each published DPP is assigned a persistent, globally unique identifier (DPP ID, stored as a UUID/GUID). Once assigned, a DPP ID is never recycled, re-assigned or changed — even if the product record is soft-deleted or the subscription lapses. DPP IDs are included in all archive exports and API responses.
14.4 Data Portability on Account Closure
On cancellation or account closure, your data will remain accessible for a minimum of 90 days from the closure date to allow you to download your archive. We will send an email reminder at 60 days and again at 85 days before deletion. After the 90-day window, data may be permanently and irreversibly deleted.
14.5 Customer Archival Obligations
EN 18221 specifies that DPP data should remain accessible for the operational lifetime of the product and for a defined period after it is placed on the market (the exact period depends on the applicable product regulation, e.g. the ESPR Delegated Act for your product category). You are responsible for maintaining your own long-term archival copies in compliance with those obligations. xProduct provides the technical means to export your data; we do not act as a long-term regulatory archive on your behalf.
14.6 Service Continuity & Platform Closure
In the event that xProduct ceases to operate or the platform is discontinued, we will:
- Provide at least 90 days' advance notice to all registered account holders by email
- Make archive downloads available free of charge to all active and recently-lapsed subscribers during the notice period
- Maintain QR code resolution and public DPP pages for as long as technically feasible within the notice period
15. Third-Party Services
The platform relies on third-party providers, including but not limited to: Stripe (payments), Microsoft Azure (hosting and storage), Anthropic (AI features), and LinkedIn (analytics). We are not responsible for:
- Third-party outages or service changes
- Their terms or privacy policies
- Data processed by third parties under their own policies
16. Data Protection & Processing
We process personal data in accordance with applicable data protection laws, including UK GDPR and EU GDPR.
- Roles. We act as a controller for account and billing data; we act as a processor for Customer-submitted data stored within the platform.
- Data Processing Agreement (DPA). Where we act as a data processor, our processing is governed by a DPA in accordance with UK/EU GDPR Art. 28. Business customers may request a copy by emailing app@xproduct.co.uk.
- Processor commitments. We implement appropriate technical and organisational security measures and use only approved sub-processors.
- International transfers. Where data is transferred outside the UK or EEA, we rely on appropriate safeguards such as Standard Contractual Clauses (SCCs) or adequacy decisions. See our Privacy Policy for full details.
- Email. Cancellation and billing emails are transactional. We do not send marketing without consent.

17. Consumer Right to Cancel
If you are a consumer in the UK or EU, you may cancel within 14 days of purchase without giving a reason, subject to applicable law. To exercise your right, email app@xproduct.co.uk or use the cancellation form at the bottom of this page.
Where services have already begun during the cooling-off period, a proportionate charge may apply for services provided up to the date of cancellation.
AI credit top-ups are digital content purchases; the right to cancel may be excluded once the credits have been accessed or consumed, in accordance with applicable consumer law.
18. Limitation of Liability
To the fullest extent permitted by law:
- The platform is provided "as is"
- We are not liable for indirect or consequential losses
- We are not responsible for decisions made using Customer Content or AI-generated outputs
- Total liability is limited to fees paid in the previous 12 months
Nothing limits liability where prohibited by law (e.g. fraud, death or personal injury caused by negligence).
19. Indemnity
You agree to indemnify and hold harmless Kuzi Design Ltd from claims, damages or expenses (including legal fees) arising from:
- Your use of the platform
- Customer Content published via your account
- AI-generated content you have reviewed and published
- Breach of these Terms
20. Termination
We may suspend or terminate accounts where:
- These Terms are breached
- Payment is not made
- The platform is misused
Upon termination or cancellation, access is revoked at the end of the current billing period. Your data will be retained for a minimum of 90 days after account closure during which you may download your full archive (see §14.4). After this period, data will be permanently deleted in accordance with our Privacy Policy. We will send email reminders at 60 and 85 days.
21. Changes to Terms
We may update these Terms from time to time. We will notify users via email or website notice where changes are material. Continued use of the platform after notice of changes constitutes acceptance of the updated Terms for contractual purposes only — it does not constitute consent under UK/EU GDPR for any new data processing activity.
22. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Courts of England and Wales have jurisdiction, except where consumer law provides otherwise.
We welcome complaints first via the contact details below and will aim to resolve them promptly. We may suggest ADR where appropriate.
