These terms govern your use of www.xproduct.co.uk and the services provided by Kuzi Design Ltd.

Scope & Definitions

These Terms and Conditions (“Terms”) apply to your use of www.xproduct.co.uk (the “Site”) and the platform operated by Kuzi Design Ltd (“we”, “us”, “our”). The platform enables creation and publication of product information pages (including sustainability-related visuals) (collectively, “Public Pages”).

B2B vs Consumer. Accounts are provided to business customers (“Customers”) and their authorised users. Consumers may view Public Pages and use the cancellation form. Where you purchase goods or services from a Customer, the Customer’s terms apply in addition to these Terms.

Key Definitions: “Templates” are the visual/editor components; “Default/Admin Templates” are illustrative configurations we provide; “Customer Content” is information you (or a Customer) upload, edit or publish to Public Pages.

Service Description & Public Pages

The service includes template editors, data storage, and public rendering of product information. Public Pages may be accessed by anyone with the link or QR code. We may display a “Last updated” timestamp and other provenance markers.

Templates, Defaults & Customer Content

  • Ownership. We retain all rights in the platform, templates and default/admin configurations. Customers retain rights in Customer Content they upload.
  • Licence to host. You grant us a worldwide, non-exclusive, royalty-free licence to host, cache, process and display Customer Content on Public Pages and share links solely to operate the service.
  • Default data disclaimer. Default/admin templates and seed values (including benchmarks) are provided “as is” for demonstration. The Customer is solely responsible for verifying accuracy and legal compliance before publishing.

Environmental / Performance Claims

Public Pages may display environmental, lifecycle or performance information. Where such claims are made, the Customer must ensure accuracy, appropriate methodology, units and boundaries (e.g., “cradle-to-gate”), and that claims comply with applicable laws and guidance (e.g., UK CMA Green Claims Code / EU rules).

Customer warranty & indemnity. The Customer warrants that sustainability and performance claims are truthful, substantiated and lawful, and agrees to defend and indemnify us from third-party claims arising from such content.

Acceptable Use

You agree not to:

  • Harass, infringe rights, or post unlawful/offensive material;
  • Upload malware, attempt unauthorised access, or probe/scan the service;
  • Scrape or bulk-download Public Pages except as permitted by law;
  • Bypass plan limits, rate limits or template caps.

Accounts

Customers are responsible for their accounts, user management, and safeguarding credentials (we recommend MFA). We may suspend or terminate accounts that violate these Terms.

Plans, Caps & Fair Use

  • Plans may include limits (e.g., number of products, templates per product). We may throttle or restrict usage to preserve service stability.
  • Subscriptions auto-renew until cancelled. Access continues through the current billing period.
  • Free tier: one product for non-commercial testing. Accounts inactive for 30 days may be deleted and linked Public Pages may be disabled.

Payments

Payments are processed by Stripe. By submitting payment details you authorise us to charge fees and applicable taxes. We may cancel or reverse transactions that appear unlawful or abusive.

Availability, Maintenance & Beta

  • No guaranteed SLA unless otherwise agreed in writing. We may schedule maintenance windows and perform emergency fixes.
  • New or experimental (“Beta”) features are provided “as is” and may change or be withdrawn.
  • We may modify templates, third-party integrations or limits to maintain security and performance.

Third-Party Services

The service uses third-party providers (e.g., email delivery, hosting, analytics, map tiles). Providers may change. We are not responsible for third-party terms or outages.

Data Protection & Processing

  • Roles. For account/billing we act as a controller. For end-user enquiries submitted through the cancellation form on a Customer’s behalf, we act as a processor.
  • Processor commitments. We process such data only on the Customer’s documented instructions, implement appropriate security, use approved sub-processors, and delete or return data upon termination or request, subject to legal retention.
  • International transfers. Where data leaves the UK/EEA, we rely on appropriate safeguards (e.g., SCCs or equivalent).
  • Email. Cancellation emails are transactional. We do not send marketing without consent.

Consumer Right to Cancel

If you are a consumer in the UK or EU purchasing services from us, you may cancel within 14 days of purchase without giving a reason (subject to exceptions in law). To exercise your right, email app@xproduct.co.uk or post to the address below. You may use the cancellation form but are not required to.

If you asked us to begin services during the cooling-off period, we may deduct a proportionate amount for services provided up to your notice of cancellation.

Refunds

We provide full refunds if services are cancelled at least 48 hours before they were scheduled to be provided, or as required by law.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, special or consequential loss, loss of profit, or loss of data. Our aggregate liability arising out of or related to the services will not exceed the fees paid to us by the Customer in the 12 months preceding the event giving rise to the claim. Nothing limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be limited under law.

Indemnity

Except where prohibited by law, you agree to indemnify and hold harmless Kuzi Design Ltd from claims and expenses (including legal fees) arising from (a) your use of the Site or services; (b) your breach of these Terms; or (c) Customer Content published via your account.

Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that consumers may bring claims in their local courts where mandatory law provides.

We welcome complaints first via the contact details below and will aim to resolve them promptly. We may suggest ADR where appropriate.

Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

Changes

We may amend these Terms to reflect legal, technical or business changes. We’ll notify account holders by email or by posting a notice on the Site.
