Affiliate Terms

1. About these terms

These terms apply to people and businesses we have invited to the xProduct affiliate programme ("you"). They form an agreement between you and Kuzi Design Ltd trading as xProduct. You accept them when you tick the box on your affiliate page; your link may be issued before that, but nothing is paid until you have accepted.

If you also use xProduct as a customer, our Terms & Conditions apply to that use. How we handle personal data is described in our Privacy Policy.

2. Joining

• The programme is by invitation. We decide who joins and may decline without giving a reason.
• You must give us accurate details and keep them up to date, including where to pay you.
• You act as an independent business. You are not our employee, agent or partner and may not make promises or sign anything on our behalf.
• xProduct runs a UK site (xproduct.co.uk) and an EU site (xproduct.eu). Your link belongs to the site we set you up on and records sign-ups on that site only.

3. Your link and code

• We give you one or more personal referral codes and links. They are for your use only.
• A new customer is recorded as referred by you when they register after arriving through your link, or when they enter your code on the registration form.
• Each customer account can have one affiliate only. The first affiliate recorded for an account keeps the referral.
• A link is remembered during the visitor's visit. It is remembered for longer (up to 90 days) only if the visitor allows functionality cookies. We cannot record a referral when a customer neither uses your link nor enters your code, so ask the people you refer to use the code.
• If a customer you genuinely introduced was not recorded, tell us within 30 days of their registration. We may record the referral by hand at our discretion.

4. Referred customers

A referral earns commission only when all of the following are true:

• the customer is new: they did not already have an xProduct account when they were referred;
• the account is not yours, and is not a business you own, control or work for;
• the customer registered on the xProduct website. Subscriptions taken through the Shopify app, and accounts created for a customer by an xProduct agent, are outside the programme;
• the customer makes their first subscription payment within 6 months of registering. A customer may start on the Free plan; the referral counts if they move to a paid plan within that time.

5. Commission

• Rate. Your commission rate is the percentage shown on your affiliate page. The rate that applies to a referred customer is your rate on the day they were referred, and it stays the same for that customer.
• What it is a percentage of. The subscription payments we actually receive from the referred customer, without VAT or other taxes, and after any discount.
• For how long. Payments received during the 12 months that start with the customer's first subscription payment. Later payments earn no commission.
• Yearly plans. When a customer pays for a year in advance within that period, commission is calculated on the whole payment.
• Plan changes. If the customer upgrades or downgrades, commission follows what they actually pay.
• Not included. One-off purchases such as AI credit top-ups, printed QR labels and services, and anything the customer does not pay for (free plans, trials, credits).

6. When commission becomes payable

• The commission on a payment becomes payable 60 days after we receive that payment.
• If a payment is refunded, the commission on it is reduced by the same proportion. If a payment is disputed or charged back, no commission is due on it unless the dispute is decided in our favour.
• If a refund or chargeback happens after we have already paid you the commission, we deduct the amount from your next payouts. If no further payouts are due, you agree to repay it within 30 days of our request.
• We may hold back commission while we look into a referral that appears to break these terms.

7. Payouts and tax

• We pay once a month, in the first half of the month, everything that had become payable by the end of the previous month.
• A payout is made when at least 50 is payable in your currency. A smaller balance carries over to the following month.
• We pay by bank transfer, in the currency of the site you belong to (pounds sterling on the UK site, euros on the EU site). You bear any charges your own bank makes.
• You are responsible for your own tax, including income tax and national insurance or their equivalents. If you are registered for VAT, tell us and send a valid invoice; otherwise the amounts shown are the full amounts payable.
• We may ask for an invoice or other details we need for our records before paying.
• Your affiliate page is the record of what you have earned and been paid. Tell us within 60 days of a payout if you think it is wrong.

8. How you may promote us

You must:

• make it clear, wherever you recommend xProduct, that you earn a commission if someone subscribes;
• describe xProduct accurately. Do not promise legal compliance, results, prices or features we have not published;
• follow the laws and advertising rules that apply to you, including rules on marketing e-mails and on personal data.

You must not:

• send unsolicited bulk messages, or post your link where it is not welcome;
• bid on "xProduct" or similar names in paid search or social advertising, or run advertisements that could be taken for ours;
• use domain names, social accounts or e-mail addresses that could be confused with ours, or present yourself as xProduct;
• offer cashback, payments or other rewards for signing up, without our written agreement;
• refer yourself, or create or pay for accounts in order to earn commission;
• use our name and logo other than to identify xProduct truthfully, or alter them.

9. Your page and confidentiality

• Your affiliate page shows your links, the companies you referred (company name, plan and status only), your commission and your payouts.
• Your login is personal. Keep your password private and tell us at once if you think someone else has used it.
• Treat what you see about referred companies, and the commercial terms between us, as confidential. Do not publish it or pass it on.

10. Changes and ending

• Changes. We may change your commission rate for future referrals, or these terms, by giving you at least 30 days' notice by e-mail or on your affiliate page. A changed rate does not affect customers already referred. If you do not accept changed terms you may leave the programme.
• Leaving. You may leave at any time by telling us. We may end your participation at any time by telling you.
• If we end it without a breach on your part. Your links stop recording new referrals. Customers already referred keep earning commission until the end of their 12-month period, on these terms.
• If you leave, or we end it because you broke these terms. Commission stops for payments we receive after the end date. Commission on earlier payments is paid in the normal way, except that we may withhold commission connected with a breach, fraud or self-referral.
• We may pause or close the programme as a whole on 30 days' notice; the two points above then apply as if we had ended it without a breach.

11. Liability

• We do not promise any level of sales or earnings, or that the website and the tracking of referrals will always be available or free of errors. If tracking fails we will correct the record where the facts can reasonably be established.
• We may change our prices, plans and product at any time; commission follows what customers actually pay.
• Our total liability to you under these terms is limited to the commission paid or payable to you for the 12 months before the claim arose. Neither of us is liable for loss of profit or indirect loss.
• You are responsible for your own promotion and its consequences, and will cover losses we suffer because you broke section 8.
• Nothing in these terms limits liability that cannot be limited by law.

12. General

• You may not transfer your place in the programme or your links to anyone else without our written agreement.
• These terms, together with your commission rate as shown on your affiliate page, are the whole agreement between us about the programme.
• If part of these terms is found to be unenforceable, the rest continues to apply.
• These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction.
